END-USER LICENCE AGREEMENT FOR IT SYSTEMS INSTALLATION SOFTWARE

This licence Agreement is for IT Systems Installation Software only. You need to obtain a separate licence for the software program which the IT Systems Installer Software is being used to install.

END-USER LICENCE AGREEMENT FOR IT SYSTEMS SOFTWARE

IMPORTANT-READ CAREFULLY: This End-User Licence Agreement (EULA) is a legal agreement between you and IT SYSTEMS & SUPPORT LIMITED (“ITS”) for the IT SYSTEMS INSTALLATION SOFTWARE (“SOFTWARE”). The SOFTWARE includes computer software, the associated media, any printed materials, and any associated “on-line” or electronic documentation. By installing, copying, accessing or otherwise utilising the SOFTWARE, you agree to be bound by the terms of this EULA. If you do not agree to the terms of the EULA, do not use the SOFTWARE. You may, however, return it along with your original LICENCE CONFIRMATION to your place of purchase for a full refund.

IT SYSTEMS SOFTWARE LICENCE

The SOFTWARE contains “SERVER SOFTWARE” that is installed on one or more computers acting as “SERVERS” and “CLIENT SOFTWARE” that is installed on one or more “WORKSTATIONS” (computers, handheld PCs or other digital devices).

The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE is licensed, not sold.

1. GRANT OF LICENCE. IT Systems grants you the right to install, copy and use the SOFTWARE on any number of Clients and Servers in a single site.
2. SUPPORT. The SOFTWARE does not include any support. Support for the SOFTWARE is provided under a separate chargeable contract. This does not affect your statutory rights when buying the SOFTWARE.
3. COPYRIGHT. The SOFTWARE is licensed, not sold, and copyrights in and to the entire SOFTWARE are owned by IT Systems or its suppliers. Therefore, you must treat the SOFTWARE like any other copyrighted material (e.g. a book or musical recording) except that you may (a) make copies of the SOFTWARE solely for backup or archival purposes, and (b) install the SOFTWARE on licensed computers provided you keep the original solely for backup or archival purposes. You must reproduce and include the copyright notice on any copy. You may not copy any written materials accompanying the SOFTWARE unless explicitly permitted by IT Systems.
4. OTHER RESTRICTIONS. You may not rent, lease or assign the SOFTWARE, but you may transfer the SOFTWARE (complete with qualifying licences for any upgrade licence) and accompanying written materials on a permanent basis to another Qualified Education User provided you retain no copies and the recipient agrees to the terms of the EULA. You may not reverse engineer, de-compile or dissemble the SOFTWARE. Contact IT Systems to confirm which establishments can qualify as education users under this EULA.
5. YOU MAY NOT USE, COPY OR TRANSFER THE SOFTWARE OR, ANY COPY IN WHOLE OR IN PART, EXCEPT AS EXPRESSLY PROVIDED IN THIS LICENCE. ALL RIGHTS NOT EXPRESSLY GRANTED ARE RESERVED BY IT Systems OR ASSOCIATED SUPPLIERS.

LIMITED WARRANTY

IT Systems warrants that the SOFTWARE will perform substantially in accordance with the accompanying written materials for a period of ninety (90) days from the date of receipt. Any implied warranties on the SOFTWARE are limited to ninety (90) days.

ACKNOWLEDGMENTS. IT Systems acknowledges the sole ownership by the other Party and validity of all trademarks, logos and software that are used or intended to be used in connection with Software Products supplied and supported via IT Systems & Support Limited. No warranty is provided via the other party, and provison of this software and any modifications are within the sole ownership of IT Systems & Support Limited, this also includes but not limited to any costed support services.

CUSTOMER REMEDIES. IT Systems entire liability and your exclusive remedy shall be, at IT Systems option, either (a) return of the price paid for SOFWTARE which is returned to IT Systems along with the relevant licence confirmation, or (b) repair or replacement of the SOFTWARE or hardware that does not meet IT Systems Limited Warranty. This Limited Warranty is void if failure of the SOFTWARE or hardware has resulted from accident, abuse or misapplication. Any replacement SOFTWARE will be warranted for the remainder of the original warranty period or thirty (30) days, whichever is longer.

NO OTHER WARRANTIES. IT SYSTEMS DISCLAIMS ALL OTHER WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OR MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE SOFTWARE, THE ACCOMPANYING HARDWARE EXCEPT WITH REGARD TO CONSUMER TRANSACTIONS IN THE UNITED KINGDOM. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS.

NO LIABILITY FOR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL IT SYSTEMS OR ASSOCIATE SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PERCUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS SOFTWARE, EVEN IF IT SYSTEMS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
